The successful candidate will be part of the Senior Leadership team and will report to the Executive Directors. The Legal Counsel will be responsible for advising the Group in relation to M&A, general corporate and finance transactions; material commercial contracts; providing pragmatic and commercial legal advice that protects the company's reputation, brands, customers, and shareholders; and facilitating the achievement of Ethos objectives and strategy.
About you:
- To be considered for this position, you must be based in Ireland.
- 3+ years PQE of commercial experience in Ireland, UK, and the EU and/or having a solid experience of corporate and contract law transactions, preferably with an international element.
- Master's or bachelor's degree in Law from top universities.
- Diploma in Construction Law or relevant experience in the field.
- Strong understanding of EU/Irish laws and regulations, including PDPA, e-commerce, and competition.

Your Day-to-Day Activities:
- Comprehensive Legal Analysis: Conduct in-depth analysis of legal documents, including customer agreements, privacy statements, site terms, and cloud service arrangements.
- Contract Guidance: Provide expert legal guidance and assistance throughout contract negotiations and finalizations.
- Cross-Functional Collaboration: Collaborate with cross-functional teams across various departments to address legal concerns related to business operations in different regions. Liaise with relevant legal partners in various jurisdictions to ensure compliance with all relevant laws and regulations.
- Legal Procedures and Policies: Design and implement legal procedures, policies, and practices to manage proceedings, ensuring the smooth functioning of our operations.
- Advise in house on the legal workstream for corporate and M&A transactions including due diligence, the proofing of drafts and negotiation of transaction documentation and related matters.
- Provide legal assistance on financial and restructuring projects
- Provide pragmatic, commercial, and strategic legal advice to the Group and Divisional Senior Management and Commercial teams.
- Manage external legal resources to ensure a comprehensive and cost-efficient legal support to all areas of the Group's business.
- Global Legal Initiatives: Work with our global team to enhance legal and compliance initiatives, ensuring conformity to all applicable laws, regulations, and regulatory bodies, and staying ahead of the curve. Seek out experts in various jurisdictions to advise on local laws and compliance requirements.
- Stay Informed: Anticipate and respond to new legislation, with the ability to digest, summarise and succinctly communicate how new legal developments will affect the business of the Group, while ensuring our legal compliance
- External Legal Representation: Manage external legal resources to ensure a comprehensive and cost-efficient legal support to all areas of the Group's business.
- Business Registrations: Ensure the accuracy and validity of all business registrations while contributing to the development and implementation of internal resolutions, guidance, and policies, streamlining our legal operations.
