Job Summary
This position is a full-time Analyst (CL11) role to be filled by an experienced paralegal with at least 2 years of company secretary / corporate governance experience in a MNC or law firm. The role will mainly focus on company secretarial / corporate governance matters in Ireland and the successful candidate will support the Company Secretary of all of our Irish companies.
Job Responsibilities
Meetings
- Coordinating and scheduling board, committee and shareholder meetings
- Working with local Irish stakeholders to align meeting room allocations, catering and tech support requirements for each meeting, and on-the-ground support during board meetings.
- Organising and attending meeting prep sessions with key stakeholders / presenters in advance of meetings and taking ownership of ensuring all parties are apprised of their actions and deliver their materials by agreed deadlines.
- Collating and compiling board packs, PPT formatting and presentation of slides during the board meeting
- Physically attending board / committee meetings to help with logistics
- Taking detailed minutes and preparation of first draft minutes.
- Drafting and maintaining actions logs, identifying post-meeting action owners and communicating actions to them, tracking deadlines and outstanding matters.
- Preparing and organising execution of statutory and governance documents after meetings e.g. minutes, statutory registers, transaction documents, POAs, statutory financial statements, declarations, filings etc.
- Assisting with drafting of Irish legal documents e.g. resolutions, AGM materials, CRO submissions etc.
Controls and Record Management
- Implementing required internal controls, including maintenance of controls documentation and trackers
- Maintaining and updating statutory registers in line with Irish legal requirements
- Updating corporate records and appendices ahead of corporate filing deadlines
- Managing requests from across the business for document signatures, and for notarisation / apostilles by working with local service providers; maintenance of physical company seals for affixing to documents as needed.
- Archiving hard copy materials in our Dublin offices, compiling inventories and sending to secure offsite storage
- Become Asset Steward for digital assets registered on Archer and complete quarterly access reviews / annual data privacy controls etc.
- Minimum 2 years’ PQE with experience in Irish corporate governance / management of governance of Irish companies / company secretarial work.
- Experience in CRO / RBO database and filings preferred
- Good knowledge of Irish Companies Act (and related legislation) and ability to monitor changes in Irish company law and related legal areas
- Excellent planning, co-ordination, organisational and written and oral communication skills
- Strong people skills including ability to manage senior stakeholders
- Attention to detail in drafting
- Ability to work well under pressure and tight deadlines
- Willingness to learn, self-motivated, goal-oriented.
